The terms of use detailed below (hereinafter: "Terms of Use") constitute a binding and valid contract between the user and REISH.CO (hereinafter: "the Studio").

In order to provide you with an innovative, high-quality website, we sought to create in these Terms of Use a legal environment that will allow us to focus on the main thing – bringing you a website for the sale of unique designed products, through a friendly and convenient user interface.

Please read the contents of the Terms of Use and do not be alarmed by the legal and formal language. We are here for you, to serve you and to bring you the most benefit.

1.   General

o     The Website – the internet website at the address REISH.CO.

o     Any action whatsoever on this Website is subject to the provisions of the Terms of Use below.

o     Every user of the Website expresses their consent, by the very act of using the Website, that they are familiar with the Website’s Terms of Use and the rules applicable to its use and agrees to them, including the Privacy Policy.

o     These terms apply to the use of the Website via any computer, any cellular phone, or any other communication device. Likewise, they apply to the use of the Website, whether via the internet or via any other network or means of communication.

o     The Terms of Use detailed below are the legal basis for orders and browsing on the Website and they regulate the relationship between the Studio and the user of the Website and/or the person ordering through the Website. The Terms of Use constitute an agreement for all intents and purposes between the Website and its users. In the event you do not agree to any of the terms of the Terms of Use, please refrain from using the Website.

o     For ease of reading, this document is written in the masculine gender, but it refers to both men and women equally. Where things are written in the plural, the intention is also to the singular, and vice versa.

o     The Studio reserves the right to change the Terms of Use from time to time, without providing prior notice thereof. Any change in the Terms of Use will take effect immediately upon its publication on the Website.

o     The Website’s computer records alone, regarding the actions performed through the Website, shall constitute prima facie evidence of the correctness of the actions.

o     We make every effort to ensure that the information displayed on the Website is the most complete and accurate information, but it may contain, in good faith, inaccuracies or errors, and the Studio shall not bear any liability whatsoever arising from or related to them.

2.   Purpose of this Website

This Website provides an online service for the purchase of the Studio’s products, and is intended to offer designed products and to allow users to purchase the products offered through the Website.

3.   Users

o     Anyone who meets the following conditions is entitled to use the Website:

1.     Anyone who is at least 18 years of age and is an adult and legally competent to perform legal actions as these terms are defined in the Legal Capacity and Guardianship Law, 5722-1962.

2.     Anyone who has a valid email address and whose personal details and other mandatory fields in the order form on the Website were filled out faithfully when carrying out the purchase process on the Website, including: address, ID card number, mobile phone number.

o     Notwithstanding the foregoing, the Studio may prevent a person and any group of people from using the Website, whether such use was previously approved or not, at its sole discretion, without the need to provide a reason and/or prior notice. This will generally be for reasons such as an invalid payment method, provision of incorrect details, or damage to the Website and/or another user.

4.   The Purchase Process

o     The purchase process will begin by clicking with the mouse on the "Buy" or "Add to Cart" tab, which will lead to a form for filling in the user’s details, including credit card details, and confirmation of reading and agreeing to the provisions of the Terms of Use, at the end of which a message will appear confirming the completion of the order. Care must be taken to provide all the required details accurately. If incorrect details are provided, it is not guaranteed that the products will reach their destination.

o     At the end of the action described in this section, an email message will also be sent to the user confirming the completion of the purchase. Non-receipt of the message for any reason does not detract from the validity of the completion of the transaction.

o     The quantity of products offered for sale is not fixed and may vary from product to product. In the event that the quantity of products is limited, the purchase will be made on a first-come, first-served basis. The Studio does not undertake to hold stock of all the products whose images appear on the Website.

o     The product images displayed on the Website are for illustrative purposes only and are not binding on the Website.

o     The user must ensure that the product they ordered is suitable for their personal needs; the Studio will have no responsibility for the unsuitability of a product for a user.

o     The shade of the products displayed on the Website is general and there may be a deviation in the color shade displayed on different devices compared to the actual color of the product.

5.   Prices

o     The prices on the Website include value-added tax, unless explicitly stated otherwise. The prices listed on the Website do not include shipping fees.

o     The Studio may update the product prices on the Website and/or the shipping rates from time to time and without the need for prior notice. The valid price is the price that appeared on the Website at the time of completing the purchase process.

o     In the event a discount percentage is displayed in a transaction, the final product price after the discount displayed in the transaction in NIS is the binding price. The display of a discount percentage is for convenience purposes only.

6.   Transaction Cancellation and Returns

The user may cancel a transaction for the purchase of a product made through the Website. This section briefly details the rules for returns and cancellations, which are subject to all the provisions of the Consumer Protection Law.

How to Cancel a Transaction

o     Cancellation of a transaction shall be done by sending a cancellation notice by email to the address sales@reish.co.

o     Please inspect your order immediately upon receipt and contact us immediately if the item is defective, damaged or if you receive the wrong item. In case of damage to the product, we will also need photos of the box, outside and inside.

Dates and Conditions for Transaction Cancellation – General

Any user may cancel a transaction, for any reason, from the day the transaction is made and up to 30 (thirty) days from the date of receipt of the goods, provided that the cancellation of the transaction is conditional on the user returning the products to the Studio in their original packaging, accompanied by a receipt or proof of purchase, and that they have not been damaged and no use has been made of them by the purchasing user.

Transactions That Cannot Be Canceled

·      Transactions for the purchase of products that were specially manufactured in a custom-made manner for the user.

·      Gift cards.

·      Sale items.

Cancellation Due to a Defect or Non-Conformity

Non-conformity – the product is defective or the product supplied is different from the one ordered.

If a user cancels a transaction due to a defect in the product they purchased, or due to a non-conformity between the product they purchased and the details provided to them, or due to non-delivery of the product on the scheduled date, the following provisions shall apply:

·      The Studio will refund to the user, within 30 days from the date of receipt of the cancellation notice, that part of the transaction price paid by the user, will cancel the user’s charge for the transaction and will not charge the user any cancellation fee. Any credit will be made using the original payment method only, in accordance with the credit card company’s schedules.

·      If the user has received the goods they purchased, they will send them back to the Studio at the Studio’s expense and notify it of such.

Cancellation Not Due to a Defect or Non-Conformity

If a user cancels a transaction for reasons other than a defect or non-conformity, the following provisions shall apply:

·      The Studio will refund to the user, within 30 days from the date of receipt of the cancellation notice, that part of the transaction price paid by the user; the user’s charge for the transaction will be canceled. No sums of money will be collected from the user, except for a cancellation fee (if the Studio decides to charge one) at a rate not exceeding 5% of the price of the product purchased, or 100 new shekels, whichever is lower.

·      Cancellation fee – includes expenses or liabilities for shipping, packaging, or any other expense or liability that the Studio claims were incurred by it or that it committed to due to the engagement in the transaction, or due to its cancellation.

·      If the user has received the product they purchased, they must return it to the Studio at their own expense and notify it of such.

·      The credit will be processed after inspection of the product, within a period not exceeding 30 business days from the day it is returned to us.

·      We recommend that any return sent to us be fully insured and be made through a shipping company that provides a tracking number. In the event that a package returned to us is lost or damaged during the return shipment, we will not be able to credit you.

Cancellation of a Transaction by the Studio

Without derogating from the foregoing, the Studio shall be entitled to cancel a transaction including, but not limited to, in the following cases:

·      The user committed an illegal act and/or violated the provisions of the law;

·      The user violated a condition of these Terms of Use;

·      The user intentionally provided misleading personal details;

·      An act or omission by the user that may harm the Studio and/or anyone on its behalf and/or the proper functioning of the Website and/or any third party;

·      An exceptional and clear clerical error occurred in the product description, whether in the product price or in the product description, made in good faith;

·      In the event of force majeure, including a pandemic (such as Corona) and/or a security event that, in the Studio’s opinion, prevents the execution of the transaction or the supply of the product;

·      Notice of the cancellation of the transaction will be given to the customer by telephone and/or in writing to the email address provided at the time of placing the order.

7.   Shipping

o     The Studio will supply the user with the products purchased by them within 14–30 business days after receipt of payment. We promise to make every effort to shorten your waiting time.

o     Orders are sent via Israel Post or via EMS air mail with a tracking number. Delivery time to most destinations in the world is 5–14 business days (depending on the shipping service you have chosen).

o     Delivery times are estimates; there may be delays due to the post, customs, or holidays. The Studio will not be held responsible for any delay in shipping. A delay in delivery will not constitute grounds for a fine or any compensation, and cannot be used as a reason to cancel the order.

o     The Studio may charge users a shipping fee for the shipment of products purchased on the Website, which may be carried out by various shipping methods at its sole discretion, including through various distribution companies and/or through Israel Post and the like.

o     The Studio will not bear any responsibility for delays in the supply of products in events beyond its control such as malfunctions, delays, strikes, pandemics, natural disasters, malfunctions in the computer system and/or telephones, or malfunctions in the email service.

o     Product delivery times include only "business days", i.e., weekdays from Sunday to Thursday, and do not include Fridays and Saturdays, holiday eves and holidays (Chol HaMoed). The business day on which the product was ordered is not counted and ends at 19:00.

o     The user must check the products upon receipt and note in writing any defects. If they did not do so at the time of delivery, the products will be deemed to have been supplied in accordance with the order and in good condition.

o     Regarding international shipping: Prices do not include import taxes applicable in other countries. Buyers are responsible for any customs and import taxes that may apply. The Studio is not responsible for delays due to customs procedures.

8.   Disclaimer of Warranty

o     The product images appearing on the Website are for illustrative purposes only. The shade of the products displayed on the Website is general and there may be a deviation in the color shade displayed compared to the actual color of the product.

o     The Studio reserves the right to cease the Website’s activity at any time, for any period of time, for maintenance purposes, due to the closure of the Website, or for any other reason. Such cessation of activity (temporary or permanent) will not require any prior notice or justification.

o     The Studio and/or the Website are not responsible and will not be liable – directly or indirectly – for any damage, loss of profits, expense, damage to goodwill, reliance, breach of contract, or any tort caused to the user and/or any third party in connection with the Website, its use, the products, or their use.

o     Due to technical malfunctions and/or the need for Website maintenance, users’ purchases may not be completed. Users assume full responsibility for any damage, reliance, expense, or loss of profits that may result from such malfunctions.

9.   Unauthorized Use of the Website

o     No unauthorized use of this Website shall be made.

o     The content of the Website may not be distributed, copied, reproduced, or displayed on other websites or other publications, without prior written permission from the Studio, including a prohibition on the use of Framing and Automated Data Mining Tools techniques.

o     No use shall be made of the logo of the Website and/or the Studio and/or any copyright and/or intellectual property of the Website and/or the Studio without the prior written permission of the Studio.

10.   Copyright and Trademarks

o     Everything on this Website is the exclusive property of the Studio. Any copying, distribution, transmission, publication, linking, or other modification of this Website without the express written permission of the Studio is strictly prohibited.

o     Any violation of this policy may result in a violation of copyright, trademark, or other intellectual property right which will expose the violator to civil claims and/or criminal proceedings.

o     This Website includes material protected by copyright, trademarks, and other intellectual property rights, including text, software, images, music and video, graphics and sound, as well as the entire content of the Website.

o     The Studio owns a copyright in the content, in the selection, coordination, and promotion of the content on the Website, and no party is permitted to modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit the content, in whole or in part.

o     No computer application or any other means, including Crawlers, Robots, and similar software, may be operated for the purpose of searching, scanning, copying, or automatically retrieving content from the Website.

o     Content from the Website may not be displayed within a frame (Frame), visible or hidden.

o     The Website may include links to other internet websites that are not operated by the Studio. The links are intended solely for the convenience and information of the users and are not under the control or responsibility of the Studio.

o     To the extent that the Website contains links to other sites, this does not indicate the Studio’s consent to and/or responsibility for the content appearing on those sites. The Studio recommends reading carefully the terms of use and privacy policy of the linked sites.

11.   Applicable Law and Jurisdiction

o     The law applicable to all matters related to this Website is Israeli law only.

o     In any case of dispute, the courts of the Tel Aviv-Yafo district shall have the exclusive jurisdiction to hear the claim.

o     It is clarified that the provisions of the above Terms of Use also apply to a user who is not a resident and/or citizen of Israel, and in no case shall a claim be heard that Israel is not a proper forum and/or that foreign law should be applied.
